General Terms of Service

These Terms and Conditions ("Terms") govern the provision of all manpower, housekeeping, security, and facility management services ("Services") by Vijayendra Info Soft Pvt. Ltd. ("The Company") to any individual, firm, or company ("The Client"). By engaging our Services, The Client agrees to be bound by these Terms.

1. Scope of Services

The specific scope of services, duties, number of personnel, and operational schedules will be mutually agreed upon in a separate Service Level Agreement (SLA) which will form an integral part of the contract.

2. Contract Term and Renewal

The contract for services shall be valid for a period of one (1) year from the date of deployment of personnel. Upon expiry, the contract will be renewed automatically for a subsequent period of one year on the same terms, unless either party communicates a desire for non-renewal in writing at least thirty (30) days prior to the expiration date.

3. Payment and Tariff Revisions

  • All invoices are to be paid by The Client within thirty (30) days of the invoice date. Late payments may attract interest at a rate of 1.5% per month.
  • The service tariff is subject to revision based on any updates to minimum wages, allowances, or statutory contributions (like EPF, ESI) as mandated by the State or Central Government of India. Any such revision will be communicated to The Client and will be effective from the date stipulated by the government notification.
  • All charges are exclusive of GST and any other applicable taxes, which will be charged extra as per prevailing rates.

4. Personnel and Supervision

  • All personnel deployed at The Client's premises are employees of The Company. The Company is solely responsible for their salaries, benefits, and statutory compliance (EPF, ESI, etc.).
  • The Client shall not employ any of The Company's personnel directly or indirectly during the contract period or for one year following its termination.
  • Personnel Transfer Policy: To prevent familiarity and vested interests, The Company reserves the right to rotate its personnel every six (6) months, in consultation with The Client's site management.

5. Client Obligations

The Client shall provide a safe and suitable working environment for all deployed personnel. This includes providing access to basic amenities and any necessary site-specific instructions or safety briefings.

6. Termination of Contract

Either party may terminate the contract by providing one (1) month's written notice to the other party. Alternatively, the terminating party may choose to pay one month's billing amount in lieu of the notice period. The Company also reserves the right to terminate the contract immediately in case of a material breach of these terms by The Client.

7. Liability and Indemnification

The Company shall be liable for any damages caused by the gross negligence or willful misconduct of its personnel. However, The Company shall not be liable for any loss or damage arising from circumstances beyond its reasonable control. The Client agrees to indemnify The Company against any claims arising from the actions of The Client's own employees or third parties.

8. Governing Law and Jurisdiction

This agreement shall be governed by the laws of India. Any disputes arising out of this contract shall be subject to the exclusive jurisdiction of the courts in Mahabubnagar, Telangana.
